Terms and Agreements

By accepting this Agreement now and each time you place an userOrder or request or perform any transaction related to the Service, you represent that you understand and accept the terms and conditions of this Agreement. This Agreement applies to your use of any Healthy Place Botanicals web sites, mobile applications, data and any related products or services (collectively the "Service").

In this Agreement, "you", "your", "Subscriber", "Subscribers", "user" or "users" means any person using the Service. "Healthy Place Botanicals", "we", "us" and "our" refer collectively to Healthy Place Botanicals, Inc., its affiliates, contractors, officers, employees and agents.

Portions of this agreement regarding particular services apply only to those users who are eligible for and/or who enroll for those services. Portions of this agreement regarding computer access and electronic communication apply to all users with computer access. The current version of this Agreement can be viewed at any time under the Help tab on the web site (after you enter your username and password).

Account Reversals

Healthy Place Botanicals reserves the right to reverse any and all transactions made in error due to companies software, manual additions, computation errors, human error, etc., which may result in a increase or decrease of a Store Owners Commission balances or e-Wallet balances and/or Shoppers e-Wallet account balance.

If such errors should occur in a Store Owners commissions and/e-Wallet, any balances or monies given in error which result in overpayment, increased commissions, increased e-Wallet balances, increased Retail Balances confirmed unqualified commissions or rewards by Healthy Place Botanicals will be owed by the store owner and will immediately become due to Healthy Place Botanicals. The same for Shoppers accounts. If such errors should occur in Shoppers e-Wallet, any balances or monies given in error which result in an overpayment, increased e-Wallet balances by Healthy Place Botanicals will be owed by the store owner and will immediately become due to Healthy Place Botanicals.

Healthy Place Botanicals will immediately deduct from any commissions due and/or e-Wallet balances in the Store Owner's Account/Shopper's Account. These funds will be used to satisfy the outstanding amount due to Healthy Place Botanicals as a result of an overpayment, increased commissions, increased e-Wallet balances, increased Retail Balances, confirmed unqualified commissions or rewards.

Healthy Place Botanicals will immediately, place a hold on any and all shipments, payout requests and rewards and correct the appropriate accounts to reflect the corrected dollar amount due to the error as a result of an overpayment, increased commissions, increased e-Wallet balances, increased Retail Balances, confirmed unqualified commissions or rewards.

If balances are due on the account after the system has utilized current commissions or e-Wallet balances, the Store Owner and/or Shopper can add funds to their e-Wallet balance to satisfy any remaining balances. Future payouts and requests for earned commissions, e-Wallet balances or rewards will not be paid until the outstanding about has been satisfied by the Store Owner and/or Shopper respectively.

Any orders that have been created against any outstanding Store Owner and/or Shopper balances will be held until the negative balance has been satisfied. If the order balance has not been satisfied within 7 days, the order will be canceled in the system and will need to be recreated once the outstanding balance has been satisfied. All commissions due and volume created will be reversed in the Store Owner's Account and all Levels of Payout.
